Before acceptance, please read carefully the text of this Offer, its Annexes and the Privacy Policy. Acceptance means full and unconditional agreement to all of the terms.
PART I. OFFER FOR BUSINESSES
1. Definitions
1.1. Provider means the sole proprietor ASTRO IT IP, BIN/IIN 980512350459, operating under the trademark LUNIQ.
1.2. Client means a legal entity or sole proprietor that has accepted the Offer to use the Service in its business activity. Individuals who order the service for personal purposes are covered by Part II.
1.3. Service means the LUNIQ cloud services available through a web browser: LUNIQ Menu, LUNIQ Flow, LUNIQ Reserved and other products described in the Annexes. Product means any one of these services.
1.4. Guest means an individual who uses the Client's page in the Service, e.g. to view a menu or place an order or booking. A Guest is not a party to the Agreement.
1.5. Tariffs means the price and scope of services for each Product. The current Tariffs are set out in Annex 5 to this Offer; they can also be confirmed with the Provider through the Communication Channels or in the issued invoice.
1.6. Paid Period means the period for which the Client has paid under the selected Tariff, including any bonus months.
1.7. Communication Channels means e-mail, WhatsApp and Telegram, as specified in Section 17 (for the Provider) and in the application or correspondence (for the Client).
2. General provisions and acceptance
2.1. This document contains the essential terms of the agreement and is a public offer within the meaning of Article 395(5) of the Civil Code of the Republic of Kazakhstan (the Civil Code). The Agreement is concluded by the Client's accession to the Offer as a whole.
2.2. Acceptance of the Offer (Article 396(3) of the Civil Code) consists of any of the following:
– payment of the Provider's invoice in full or in part;
– sending a request for a demo access with the message "I accept the terms of the offer" through the Communication Channels;
– starting to use the Service after receiving access from the Provider.
2.3. From the moment of acceptance the Agreement is considered concluded in writing (Article 152 of the Civil Code). Proof of acceptance includes the payment document, a record in the Provider's system or saved correspondence in the Communication Channels. Upon the Client's request, the Provider will execute the agreement on paper or with an electronic digital signature on the terms of the Offer.
2.4. The Agreement consists of the Offer, the Annex for the chosen Product, Annex 4 (processing of personal data), the Tariffs and the invoice. In case of conflict, the following order applies: invoice (as regards price and term) → Annex → Offer.
3. Subject of the Agreement
3.1. The Provider grants the Client remote access to the Service, provides its set-up and technical support, and the Client pays for them according to the Tariffs (Article 683 of the Civil Code). The scope of services for each Product is set out in Annexes 1–3.
3.2. The Service is provided in its current version. The Provider may improve the interface and functions, provided that this does not reduce the paid scope of services.
3.3. The Provider is not a seller of the Client's goods or services, does not accept Guests' payments, and is not a party to relations between the Client and Guests. Payments for orders and deposits are made directly to the Client's accounts.
4. Onboarding and demo access
4.1. To connect, the Client provides its name and details (BIN/IIN), a contact person and content for the page (menu, photos, prices, descriptions, rules).
4.2. Demo access is provided free of charge for the period agreed in correspondence (7 calendar days by default). If no payment is received within that period, the Provider disables access and, after 30 calendar days, deletes the demo page data.
4.3. Launch deadlines are set out in the Annexes. They start running once the Client has provided all necessary materials.
5. Price and payment
5.1. The cost of services is determined by the Tariffs on the date the invoice is issued. Prices exclude VAT unless the invoice states otherwise.
5.2. Payment is made in tenge, as 100% prepayment for the selected period, by bank transfer against an invoice or via Kaspi. The payment obligation is fulfilled on the day the funds are received in the Provider's account.
5.3. The price of a Paid Period does not change. New Tariffs apply to the next period.
5.4. The Agreement is extended by payment of the next period. 7 calendar days before the end of the Paid Period, the Provider sends a payment reminder. If no payment is received, access is suspended and data is retained in accordance with Clause 12.6.
5.5. Services for a calendar month are deemed rendered and accepted if the Client has not sent a reasoned claim within 5 business days after the end of that month. The Provider sends the statement of services upon the Client's request.
6. Obligations and rights of the Provider
6.1. The Provider undertakes to:
– ensure the Service is available for at least 99% of the time in each calendar month, excluding scheduled works notified at least 24 hours in advance;
– respond to support requests daily from 10:00 to 22:00 (Astana time), and to a report of a complete outage — no later than within 2 hours during these hours;
– store and protect data in accordance with Section 9, Annex 4 and the Privacy Policy;
– upon the Client's request after the end of the Agreement, provide an export of its content and data in tabular form.
6.2. The Provider may:
– engage subcontractors (hosting, mailing and notification services), remaining responsible to the Client for their actions; the list of recipients of personal data is set out in the Privacy Policy;
– suspend the publication of a particular item or access to a page if they violate the legislation of the Republic of Kazakhstan or third-party rights, with notice to the Client and an indication of the reason;
– use the Client's name and logo, and screenshots of its page, in client lists and presentations, unless the Client has objected through the Communication Channels. After such objection, the materials are removed within 10 business days. Guests' personal data is not published in such materials.
7. Obligations of the Client
7.1. The Client undertakes to:
– provide accurate information about itself and its business;
– keep prices, descriptions, dish composition and allergen information, availability of goods and services, delivery terms and booking rules on its page up to date;
– fulfil towards Guests the obligations of a seller and service provider, including under consumer protection and trade legislation;
– not post content that violates the legislation of the Republic of Kazakhstan (including the rules on advertising alcohol and tobacco) or third-party rights;
– comply with the obligations of the owner of Guests' personal data set out in Annex 4;
– keep access to the Service and to the management Telegram bot confidential; actions performed through these access credentials are deemed actions of the Client.
7.2. The Client may not copy, decompile or reproduce the Service, transfer access to third parties, or create load through automated requests beyond normal use.
8. Client content and intellectual property
8.1. Exclusive rights to the Service (source code, design, templates, interface, the LUNIQ designation) belong to the Provider. The Client is granted the right to use the Service within its Tariff for the term of the Agreement.
8.2. Rights to the Client's content (texts, photos, logos, prices) remain with the Client. The Client grants the Provider a royalty-free, non-exclusive licence to use this content to the extent necessary to provide the services and for the purposes of Clause 6.2, for the term of the Agreement and worldwide.
8.3. The Client warrants that it has the rights to the content it provides. The Client shall settle any third-party claims relating to its content itself and shall reimburse the Provider's documented costs if they arise through the Client's fault.
8.4. Content created by the Provider for the Client (menu digitisation, translations, design) may be used by the Client without restriction, including after the Agreement ends. Service templates and design are not transferred.
9. Personal data and confidentiality
9.1. The Provider processes the data of the Client's representatives as owner and operator in accordance with the Privacy Policy.
9.2. The Provider processes Guests' data only on the Client's instruction and on the terms of Annex 4.
9.3. The parties shall not disclose to third parties information about each other's orders, turnover and statistics during the term of the Agreement and for three years after its end, except where required by law. The Provider may use anonymised aggregate statistics without identifying the Client.
10. Liability
10.1. For failure to perform obligations, the parties are liable under the legislation of the Republic of Kazakhstan, subject to the limitations set out in this Section.
10.2. If the Service was unavailable through the Provider's fault for more than 24 consecutive hours, or below the level specified in Clause 6.1, the Provider extends the Paid Period by three times the length of the outage, at no additional charge.
10.3. The Provider is not responsible for the content of the Client's page; the Client's fulfilment of orders and bookings; failures and rules of third-party services (Kaspi, Halyk, WhatsApp, Telegram, Instagram, 2GIS, telecom operators, internet providers); or the results of the Client's business. Figures for growth in average check, revenue and orders shown on the website and in presentations are for information only and do not guarantee any result.
10.4. The Provider's aggregate liability under the Agreement is limited to actual damage in an amount not exceeding the sum actually paid by the Client for the last three calendar months. Lost profit is not recoverable.
10.5. The limitations in Clauses 10.3 and 10.4 do not apply to wilful breach or where the law does not allow the limitation of liability.
11. Force majeure
11.1. The parties are released from liability for failure to perform obligations caused by extraordinary and unavoidable circumstances: natural disasters, failures of data centres and communication networks, mass cyberattacks, acts of state authorities, internet shutdowns. The party shall notify the other party within 3 business days. If such circumstances last more than 30 calendar days, either party may terminate the Agreement with a refund of payment for the period not provided.
12. Term, termination and refunds
12.1. The Agreement is in force from the moment of acceptance until the end of the last Paid Period.
12.2. The Client may withdraw from the Agreement at any time by notifying the Provider through the Communication Channels (Article 686 of the Civil Code). The refund is calculated as follows: the amount paid, minus the cost of the months actually used (a partial month counts as a full month) at the price of the "3 months" Tariff of the relevant Product without discounts, and minus documented onboarding costs. Bonus months are not compensated. The refund is made within 10 business days to the account from which the payment was received.
12.3. The Provider may withdraw from the Agreement by notifying the Client 15 calendar days in advance and refunding the payment for unused days pro rata.
12.4. The Provider may terminate the Agreement without refund if the Client does not remedy a breach of Clauses 7.1–7.2 within 5 business days after notice. In that case, damages are limited to the amount paid by the Client.
12.5. A full refund of payment for the entire unused period is made without deductions if the services cannot be provided through the Provider's fault, or if the Client does not agree to a change of the Offer (Clause 13.3).
12.6. After termination of the Agreement, the Provider retains the Client's data for 30 calendar days for export, and then deletes the content. Accounting and tax documents are retained for the periods set by tax legislation.
13. Amendment of the Offer
13.1. The Provider may amend the Offer, Annexes and Tariffs by publishing a new edition with a number and effective date at least 10 calendar days in advance. Current Clients receive a notice through the Communication Channels.
13.2. Amendments do not affect the price of a Paid Period already paid.
13.3. If the Client does not agree with the amendments, it may terminate the Agreement before they take effect, with a refund under Clause 12.5. Continued use of the Service after that date means agreement to the new edition.
14. Notices
14.1. Messages exchanged between the parties in the Communication Channels are legally significant and have the same effect as written notices. A message is deemed received on the day it is sent if sent before 18:00 (Astana time), and otherwise on the next business day.
14.2. Claims are sent to the other party's e-mail address. Each party must notify the other of any change to its contact details within 5 business days.
15. Disputes and governing law
15.1. The law of the Republic of Kazakhstan governs the Agreement.
15.2. A pre-trial claims procedure is mandatory. The deadline for responding to a claim is 10 business days from its receipt.
15.3. Unresolved disputes are heard by the court at the Provider's location (Astana), unless otherwise provided by law.
16. Language
16.1. The Offer is published in Russian, Kazakh and English. The Russian text is the primary text. In case of any discrepancy, the Russian text prevails.

3.2. The gallery operates for 7 calendar days from the event date: guests upload and view photos and videos. At the end of this period, the Provider hands the Customer the complete archive in original quality and, within 24 hours after handover, deletes the files and guests' names from its servers. After the archive is handed over, the Customer is responsible for its storage.
